Dear , I was greatly concerned to receive a copy of your Purchase Order, for reasons I am about to explain. Firstly, the print size is so small I had difficulty in reading it, and I do not believe such tiny type is conducive to an open and transparent contractual relationship. Secondly, this document seems to have been drafted to apply to a wide variety of suppliers, and does not sit easily with the terms and conditions under which a freelance journalist is normally commissioned. The devil, of course, is in the detail. I was shocked to discover under 9. Rights in Deliverables that I am expected to assign copyright and to waive my moral rights. As this is a major issue with journalists, it should not be buried within a clause that seems to refer to something else entirely. Under 10. Liability I note that I am expected to fully indemnify Emap against "loss, damages, costs and expenses". All this for the one-off fee that you pay me! A bit one-sided, don't you think? I am also worried by 12.2, which seems to me very vague in respect of the work I actually provide for Emap. I would like to continue working for Emap but, as you can imagine, I am extremely reluctant to accept these terms. Could we please discuss a much simpler arrangement that would be mutually acceptable?
